Sponsorship Terms and Conditions

1. Application of Terms and Conditions
These Sponsorship Terms and Conditions apply to sponsorship of events produced, hosted or managed by Private Equity Africa (PEA).
These Sponsorship Terms and Conditions apply together with the Sponsorship Registration Form signed by the Sponsor.
Together, the Sponsorship Registration Form and these Sponsorship Terms and Conditions form the agreement between Private Equity Africa (Event Producer) and the sponsoring organisation named in the Sponsorship Registration Form (Sponsor).
The specific event, sponsorship package, sponsorship fee, sponsorship benefits and any event-specific terms will be set out in the Sponsorship Registration Form.
If there is any conflict between the Sponsorship Registration Form and these Sponsorship Terms and Conditions, the Sponsorship Registration Form shall apply to the extent of that conflict.
2. Acceptance of Sponsorship
All sponsorship opportunities are subject to availability.
The Event Producer may limit the number of sponsors and may accept or reject sponsorship requests at its discretion.
Acceptance of a sponsorship request is confirmed only when the completed Sponsorship Registration Form has been received and accepted by the Event Producer.
The Sponsor has no right or authority to make decisions relating to the conduct, participants, presenters, display, performance, content, setup, design, quantity or any other aspect of the event, sponsored session, sponsorship item or sponsorship package.
3. Payment and Invoice
The sponsorship fee and payment deadline will be set out in the Sponsorship Registration Form or invoice.
All sponsorship fees are inclusive of VAT and any other applicable taxes, unless expressly stated otherwise in the Sponsorship Registration Form or invoice.
Full payment must be received by the payment deadline stated in the Sponsorship Registration Form or invoice.
Once the completed Sponsorship Registration Form has been received and accepted, the contact person listed on the form will receive an invoice by email, unless otherwise agreed in writing.
Payment must be made by bank transfer or by using the payment link included in the invoice, unless otherwise agreed in writing by the Event Producer.
The Event Producer may withhold sponsorship benefits until payment has been received in full.
4. Event Cancellation or Changes
If the event is cancelled by the Event Producer, the Event Producer shall refund the Sponsor all monies paid for the sponsorship package.
The Event Producer may make reasonable changes to the event date, venue, format, programme, running order, speakers, sponsors, branding arrangements or event delivery where required for operational or marketing reasons.
Where the event is postponed or rescheduled, the sponsorship package will apply to the postponed or rescheduled event, unless otherwise agreed in writing.
If the Sponsor cancels or withdraws from the sponsorship booking after the Sponsorship Registration Form has been accepted, the sponsorship fee shall remain payable in full, unless otherwise agreed in writing by the Event Producer.
5. Sponsorship Attendee Passes and Registration
The Sponsor will receive the number of complimentary attendee passes allocated to the sponsorship package, as set out in the Sponsorship Registration Form.
Additional attendee passes may be purchased, subject to availability.
Attendee registration is separate from sponsorship registration.
All sponsor representatives attending the event must complete the event registration process.
6. Signage and Materials
The Event Producer will be responsible for the design and placement of official event signage and materials included in the sponsorship package.
The Sponsor may not place any additional signage or other materials inside or outside the event venue without the prior written consent of the Event Producer.
All requests for additional signage display, placement, setup and removal must be sent to the Event Producer for approval by the deadline specified by the Event Producer.
If additional signage or materials are approved outside the benefits included in the sponsorship package, the Sponsor will be responsible for the design, production, setup and removal costs.
7. Distribution of Printed and Promotional Materials
The Sponsor may not distribute printed materials, samples, souvenirs, promotional items or other materials to event attendees without the prior written consent of the Event Producer.
This clause applies to materials handed out, displayed for collection or otherwise distributed by the Sponsor, and does not restrict signage or materials already included in the sponsorship package.
All requests to distribute materials must be submitted in writing.
A sample of any materials must be sent to the Event Producer for approval by the deadline specified by the Event Producer.
Approval to distribute materials does not constitute endorsement of the Sponsor, any other firm, company, publication, product, service or content by the Event Producer.
The Sponsor may not state or imply that any distributed materials are endorsed or sponsored by the Event Producer.
The Sponsor may not use the Event Producer’s name, trademark, logo or branding without prior written consent.
8. Sponsor Logo, Branding and Required Materials
The Sponsor must provide any required logos, trademarks, artwork, contact information and other materials requested by the Event Producer within five working days of submitting the Sponsorship Registration Form, unless otherwise agreed in writing.
The Sponsor is responsible for ensuring that all logos, trademarks, artwork and materials provided to the Event Producer are accurate, current and approved for use.
The Event Producer will not be responsible for any delay, omission or reduction in sponsorship benefits caused by the Sponsor’s late, incomplete or incorrect submission of required materials.
9. Use of Sponsor Logo by Event Producer
The Sponsor grants the Event Producer permission to use the Sponsor’s name, logo, trademarks and branding for the purpose of promoting, marketing and delivering the event and the sponsorship package.
The Event Producer shall use the Sponsor’s name, logo, trademarks and branding in accordance with any reasonable brand guidelines provided by the Sponsor.
10. Indemnification
The Event Producer and the Sponsor agree to indemnify, defend and hold harmless each other and their respective officers, directors, employees, representatives and agents against any claims, losses, damages, liabilities, costs or expenses arising from the Sponsor’s participation in the event.
This indemnity does not apply to the extent that any claim, loss, damage, liability, cost or expense is caused by the negligence, wilful misconduct or breach of these Sponsorship Terms and Conditions by the party seeking indemnity.
The total liability of either party in connection with the sponsorship booking shall not exceed the sponsorship fee paid or payable by the Sponsor, except in respect of fraud, wilful misconduct or liability that cannot be excluded by law.
11. Confidentiality
Except as otherwise agreed in writing, including any agreed public announcements, the parties shall keep the commercial terms and particulars of the sponsorship arrangement confidential.
This obligation is subject to any disclosure required by law, regulation or a competent authority.
The Sponsor may not make, issue or cause to be made or issued any press release, media statement, announcement or public communication regarding the sponsorship rights or the Sponsor’s appointment without the prior written approval of the Event Producer.
12. Exclusivity and Competing Sponsors
The Event Producer reserves the right to secure additional sponsors for the event.
Where a sponsorship package is expressly stated to be exclusive in the Sponsorship Registration Form, the Event Producer will not appoint another sponsor for that specific sponsorship package, session, item or benefit.
Any exclusivity applies only to the specific sponsorship package, session, item or benefit expressly stated as exclusive in the Sponsorship Registration Form.
13. Relationship Between the Parties
Nothing in these Sponsorship Terms and Conditions shall create any partnership, joint venture, agency, employment relationship or fiduciary relationship between the parties.
Neither party shall have authority to bind the other party or act on behalf of the other party unless expressly agreed in writing.
14. Event Ownership and Proprietary Rights
The Sponsor acknowledges that the Event Producer owns or controls the event and all related proprietary rights.
The Sponsor shall have no right, title or interest in the event, the event name, event branding or any proprietary rights of the Event Producer, except for the sponsorship rights expressly granted in the Sponsorship Registration Form.
The Sponsor may use the sponsorship rights only as authorised under the Sponsorship Registration Form or as otherwise approved in writing by the Event Producer.
The Sponsor shall not do anything that may damage, undermine or endanger the Event Producer’s event rights, brand, reputation or proprietary rights.
15. Event Producer Discretion
The Event Producer shall have discretion in the interpretation and enforcement of these Sponsorship Terms and Conditions and in relation to all aspects of the event.
The Event Producer may make reasonable amendments or establish further terms and conditions required for the proper conduct of the event, including sponsorship opportunities.
Any amendments or further terms and conditions shall not materially alter or diminish the sponsorship rights granted to the Sponsor in the Sponsorship Registration Form.
All matters, issues or questions not covered by these Sponsorship Terms and Conditions shall be subject to the reasonable discretion of the Event Producer.
16. Data Protection
Each party shall comply with its respective obligations under applicable data protection legislation.
Each party is responsible for ensuring that any personal data it provides to the other party has been collected, shared and processed lawfully.
17. Anti-Bribery and Corruption
Each party shall maintain adequate procedures designed to prevent it, or any associated person, from engaging in any activity that would violate applicable anti-bribery laws.
Each party represents that, in connection with the sponsorship arrangement, no improper financial or other advantage has been, will be or is agreed to be given to any person by or on behalf of that party or its associated persons.
Breach of this clause or any applicable anti-bribery law shall be treated as a material breach of these Sponsorship Terms and Conditions.
18. No Transfer or Assignment
The Sponsor may not transfer, assign, resell or share any sponsorship rights, benefits or attendee passes without the prior written consent of the Event Producer.
19. Governing Law and Disputes
These Sponsorship Terms and Conditions and the sponsorship arrangement between the parties shall be governed by the laws of England and Wales.
Any dispute arising out of or in connection with these Sponsorship Terms and Conditions or the Sponsorship Registration Form shall be subject to the exclusive jurisdiction of the courts of England and Wales.
20. Acceptance of Terms and Conditions
By signing and returning the Sponsorship Registration Form, the Sponsor confirms that it accepts these Sponsorship Terms and Conditions.
The version of these Sponsorship Terms and Conditions that applies to the sponsorship booking is the version stated at the top of this document.
Where these Sponsorship Terms and Conditions are provided by website link and by PDF copy, the version linked or provided at the time the Sponsorship Registration Form is signed shall apply.
A PDF copy of these Sponsorship Terms and Conditions may be provided to the Sponsor with the Sponsorship Registration Form for reference and record-keeping purposes.
21. Entire Agreement
The Sponsorship Registration Form and these Sponsorship Terms and Conditions constitute the entire agreement between the parties in relation to the sponsorship booking.
The Sponsor acknowledges that it has not relied on any statement, representation or promise that is not set out in the Sponsorship Registration Form or these Sponsorship Terms and Conditions.
